These Terms govern your use of UnifiWave LLC's ("we," "us," "our") website and managed network services. By engaging our services, you agree to these Terms.
1. Services
UnifiWave provides managed WiFi, network infrastructure, monitoring, and related IT services for businesses. Services are defined in individual Service Agreements signed by each client.
2. Service Agreements
- All managed services require a signed Service Agreement specifying scope, pricing, and terms.
- Standard minimum contract term is 12 months unless otherwise agreed.
- Services automatically renew on a month-to-month basis after the initial term unless either party provides 30 days written notice.
3. Hardware & Equipment
- Hardware provided as part of managed service plans remains the property of UnifiWave during the contract term.
- Client is responsible for providing adequate power, rack space, and physical security for installed equipment.
- Upon contract termination, hardware must be returned in reasonable condition or purchased at fair market value.
4. Service Level Agreement (SLA)
- We target 99.9% network uptime for managed clients (excluding ISP outages, power failures, or force majeure events).
- Remote support response times: within 4 hours for critical issues, next business day for non-critical.
- On-site support: next business day for Professional plans, 4-hour response for Enterprise plans.
5. Pricing & Payment
- Monthly service fees are billed in advance on the 1st of each month.
- Installation fees are due upon completion of installation.
- Payment is due within 30 days of invoice. Late payments may incur a 1.5% monthly fee.
- Prices may be adjusted annually with 60 days written notice.
6. Client Responsibilities
- Provide reasonable access to the premises for installation and maintenance.
- Maintain adequate internet service from your ISP (we manage your internal network, not your internet connection).
- Notify us promptly of any issues, changes to your space, or security concerns.
- Do not tamper with, relocate, or modify installed equipment without prior authorization.
7. Limitation of Liability
- UnifiWave is not responsible for internet outages caused by your ISP.
- Our liability is limited to the monthly service fees paid in the preceding 12 months.
- We are not liable for indirect, incidental, or consequential damages including lost revenue or data.
8. Termination
- Early termination during the initial contract term may incur a fee equal to the remaining months of the contract.
- We may terminate service with 30 days notice for non-payment or material breach.
- Upon termination, we will remove equipment and provide a transition period as commercially reasonable.
9. Governing Law
These Terms are governed by the laws of the State of Nevada. Disputes will be resolved in the courts of Clark County, Nevada.
